D&O Insurance and AI Governance Failures

Whether a D&O policy responds to a claim arising from an AI governance failure depends on the specific policy wording, the nature of the allegation, and the application record.

What D&O coverage is designed to address

D&O coverage is a form of management liability insurance. Allegations of inadequate board oversight or misstatements about AI capabilities may fall within the management liability grants. However, exclusions, definitions, and underwriting representations can narrow or remove that response.

For that reason, the outcome of any AI-related claim turns on the policy wording, the allegation, and the application record, rather than on the existence of a D&O policy alone.

How common AI-related allegations map to policy provisions

An AI-related claim typically moves through four stages, from the allegation itself to the evidence that supports an oversight position. Each stage raises a distinct coverage question.

From AI claim to coverage question

    StageWhat it involves
    1. AllegationOversight failure, misstatement about AI, or uncontrolled agent behavior.
    2. Policy mappingCoverage grant, exclusions, definitions, and sublimits.
    3. Underwriting recordApplication answers and evidence of AI oversight.
    4. Oversight evidenceInventories, permissions, enforcement logs, and audit trails.

Provisions that most often decide the outcome

Several parts of the policy can determine whether an AI-related claim is covered. The questions later in this guide address each of them:

    • Any AI-specific exclusion, limitation, or endorsement, and how artificial intelligence is defined.
    • Technology or professional services exclusions and conduct exclusions, and how they interact with a claim alleging inadequate AI oversight.
    • Whether a securities claim alleging misstatements about AI capabilities falls within Side A, B, or C, and whether regulatory-claim sublimits apply.
    • Related claims that might be directed to other policies, such as cyber or technology errors, and the coverage gaps between them.

Underwriting evidence and the application record

Insurers may request AI oversight evidence at application or renewal, such as inventories, access policies, or audit logs. Application answers about AI also carry risk: an AI-related answer could create misrepresentation or rescission exposure. Answers should therefore be supported by records that exist and can be produced.

Records that can support an oversight position

The following records can help demonstrate that AI risk was identified, controlled, and reviewed.

    RecordWhat it should show
AI inventoryA maintained list of models, agents, and tools with named owners and business purpose.
Agent identity and permissionsRecords showing which identity each agent uses and what access it holds, scoped to least privilege.
Tool approval recordsEvidence of who approved which tools or MCP servers, when, and under what conditions.
Runtime policy enforcement logsLogs showing policies applied at execution, including blocked or escalated actions.
Audit trailsTime-stamped, retained records of agent actions that can be reconstructed after an incident.
Board and committee reportingMinutes and reports showing that AI risk was reviewed and that findings led to action.

Questions to bring to brokers and insurers

    1. Does the policy include any AI-specific exclusion, limitation, or endorsement, and how is artificial intelligence defined?
    2. How do the technology or professional services exclusions and conduct exclusions interact with a claim alleging inadequate AI oversight?
    3. Would a securities claim alleging misstatements about AI capabilities fall within Side A, B, or C, and are there regulatory-claim sublimits?
    4. What AI oversight evidence is requested at application or renewal, such as inventories, access policies, or audit logs?
    5. Could any AI-related answer on the application create misrepresentation or rescission exposure?
    6. Which related claims might be directed to other policies, such as cyber or technology errors, and where are the coverage gaps between them?
